Terms of Service

Welcome to Source & Sell. These Terms of Service ("Terms") govern your access to and use of the marketplace at sourcensell.com (the "Site"), operated by Source & Sell ("we", "us", or "our"), a US-based trading operation in California. By browsing the Site, creating an account, or submitting a request for quote, you agree to these Terms on behalf of the business you represent. If you do not agree, do not use the Site.
1. What the Site does
The Site is a business-to-business sourcing tool. It lets business buyers browse a wholesale catalog, add products to a cart, export cart contents to Excel, submit requests for quote ("RFQs") with contact details, and register buyer accounts. Prospective sellers can apply to work with us through a form on the Site.
The Site does not process payments, hold funds in escrow, or operate any money-back guarantee program. Quotes, orders, payment, and fulfillment are all handled off-platform by our team, as described in Section 4.
2. Eligibility and business use
- The Site is intended solely for businesses and the individuals acting on their behalf. It is not offered for personal, family, or household purchases.
- You must be at least 18 years old and have the authority to bind the business you represent to these Terms.
- You are responsible for complying with the laws that apply to your business, including import, export, and product-compliance rules in your jurisdiction.
3. Accounts
You can browse the catalog without an account. Creating an account lets you keep a persistent cart and manage your RFQs. When you register, you agree to:
- provide accurate, current information about yourself and your company;
- keep your password confidential and not share your account with others;
- notify us promptly through the Help Center if you suspect unauthorized use of your account.
You are responsible for activity that occurs under your account. We may suspend or close accounts that violate these Terms.
4. RFQs, quotes, and purchases
Submitting an RFQ is a non-binding inquiry. It is not an order, and it does not create a purchase contract. We review RFQs and respond at our discretion; we are under no obligation to provide a quote, and you are under no obligation to accept one.
If you choose to proceed after receiving a quote, any resulting purchase contract is concluded between your business and Source & Sell (or its suppliers) under the terms separately agreed in the applicable quote, invoice, or other written agreement — including price, quantity, delivery, and payment terms. Those documents, not these Terms, govern the purchase itself.
Catalog prices shown on the Site are indicative reference prices, not binding offers. Final pricing is confirmed in the quote.
5. Catalog information and accuracy
Catalog information — including descriptions, specifications, attributes, stock levels, and pricing — is compiled from suppliers and other third-party sources. While we work to keep it current, specifications may change without notice, stock levels are estimates, and product images are illustrative and may differ from the items actually supplied. Confirm any specification that matters to your purchase during the quoting process before you commit to an order.
6. Acceptable use
You agree not to:
- use the Site for any unlawful purpose or in violation of these Terms;
- submit false, misleading, or bad-faith RFQs, registrations, or seller applications;
- scrape, harvest, or bulk-download catalog data, or access the Site through automated means other than standard search-engine indexing;
- probe, disrupt, or interfere with the Site, its security features, or its infrastructure, or attempt to access accounts or data that are not yours;
- copy, frame, or mirror the Site or resell access to it;
- upload malicious code or content that infringes the rights of others.
7. Trade compliance (export controls and sanctions)
The Site supports cross-border wholesale sourcing, so trade-control laws apply to what you do with it. You agree to comply with all applicable export-control, import, customs, and economic-sanctions laws and regulations, including those administered by the US Department of Commerce and the US Treasury's Office of Foreign Assets Control (OFAC). In particular, you represent and agree that:
- neither you, the business you represent, nor any party that owns or controls that business is located, organized, or ordinarily resident in a country or region subject to comprehensive US sanctions, or named on any US restricted-party list (including OFAC's Specially Designated Nationals List);
- you will not use the Site to source goods for any prohibited end use or end user, and you will not export, re-export, or transfer goods obtained through the Site in violation of applicable law;
- you are responsible for obtaining any licenses, permits, or authorizations that your imports or exports require.
8. Intellectual property
The Site and its content — including text, layout, logos, and software — are owned by us or our licensors and are protected by intellectual-property laws. We grant you a limited, revocable, non-exclusive license to use the Site for sourcing on behalf of your business. Product names, brands, and trademarks shown in the catalog belong to their respective owners; their appearance does not imply affiliation or endorsement.
If you believe content on the Site infringes your copyright or trademark, send us a notice through the IP infringement reporting channel with proof of ownership and the URL of the material in question. We review such notices promptly and remove or disable infringing material where appropriate.
9. Disclaimer of warranties
The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties, express or implied — including merchantability, fitness for a particular purpose, non-infringement, and any warranty arising from course of dealing or usage of trade. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that catalog information will be complete, accurate, or current. Any warranties that apply to products you purchase are stated in the separately agreed quote or invoice, not in these Terms.
10. Limitation of liability
To the fullest extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages — including lost profits, lost revenue, lost business opportunities, or loss of data — arising out of or relating to your use of the Site, even if we have been advised that such damages are possible.
Our total aggregate liability for all claims arising out of or relating to the Site will not exceed the greater of (a) one hundred US dollars (US $100) and (b) the amounts you paid us for use of the Site in the twelve months before the event giving rise to the claim.
Liability arising under a separately agreed purchase contract is governed by that contract, not by this section. Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
11. Indemnification
You agree to indemnify and hold us harmless from claims, losses, and expenses (including reasonable attorneys' fees) arising out of your use of the Site in violation of these Terms, your violation of applicable law, or your infringement of the rights of a third party.
12. Suspension and termination
We may suspend or terminate your access to the Site at any time, with or without notice, if we reasonably believe you have violated these Terms or to protect the Site and its users. You may stop using the Site or request closure of your account at any time through the Help Center. Sections that by their nature should survive termination — including Sections 7 through 11, 15, and 16 — survive.
13. Force majeure
We are not responsible for any delay or failure in operating the Site caused by events beyond our reasonable control — including natural disasters, fire, flood, epidemics, war, terrorism, civil unrest, labor disputes, shortages, supplier or carrier failures, internet or utility outages, and acts of government. Our obligations are suspended while and to the extent such an event prevents performance. Delivery commitments for purchased goods are addressed in the separately agreed quote or invoice, not in these Terms.
14. Changes to these Terms
We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page, and material changes may be flagged on the Site. Your continued use of the Site after changes take effect constitutes acceptance of the updated Terms.
15. Governing law and venue
These Terms, and any dispute arising out of them or your use of the Site, are governed by the laws of the State of California, USA, without regard to its conflict-of-laws rules. Any such dispute will be brought exclusively in the state or federal courts located in California, and each party consents to the jurisdiction of, and venue in, those courts.
16. General provisions
Assignment. You may not assign or transfer these Terms without our prior written consent, and any attempted assignment without consent is void. We may assign these Terms in connection with a merger, acquisition, reorganization, or sale of assets, or by operation of law. These Terms bind and benefit the parties and their permitted successors and assigns.
Notices. We may give you notice by email to the address associated with your account or RFQ, or by posting on the Site; notice is effective when sent or posted. You can send notices to us through the Help Center.
Severability; no waiver. If any provision of these Terms is found unenforceable, that provision will be modified to the minimum extent necessary or severed, and the remaining provisions will continue in full force. Our failure to enforce a provision is not a waiver of it, and a waiver on one occasion is not a waiver on any other.
Entire agreement. These Terms, together with our Privacy Policy and Cookie Policy, are the entire agreement between you and us regarding use of the Site. They do not create any partnership, agency, or employment relationship, and they confer no rights on third parties.
